A Certificate of Incumbency is a document that lists the names of current directors and officers of a corporation. It is issued and maintained by the corporate secretary.
A Certificate of Incumbency lists the individuals authorized to enter the corporation into legally binding agreements. In addition to listing the names of the officers and directors of a corporation, the Certificate of Incumbency also lists whether an officer or director was elected or appointed, the term of office and position. The Certificate of Incumbency is also known as an Incumbency Certificate, a Certificate of Officers, an Officer Certificate, a Register of Directors and a Secretary Certificate.
